Transfer basis definition

Transfer basis means the accumulated contributions present in a member's savings fund on March 1, 2002, less fifty percent of any contributions made pursuant to RCW 41.50.165(2), which is the basis for calculation of the plan 2 to plan 3 additional transfer payment.
Transfer basis shall have the meaning set forth in the Partnership Agreement (i.e., the sum of (a) the outstanding principal amount of all secured and unsecured indebtedness of the Partnership on the Closing Date, including the Assumed Liabilities, as set forth on Schedule 4.2(f), plus all unpaid interest accrued or deemed to have accrued thereon through the Measurement Date (or the date of the Special Final Distribution or applicable Realization Event, as applicable), less amounts applied in repayment thereof in accordance with the terms of such debt (as modified by the Second Amendment to Management Agreement in the case of the FSC Indebtedness), and (b) the sum of the Excess Expenditures for the calendar years or portion thereof through the Measurement Date (or the date of the Special Final Distribution or applicable Realization Event, as applicable), and the Transaction Costs, plus interest thereon through the Measurement Date (or the date of the Special Final Distribution or applicable Realization Event, as applicable), at the per annum rate equal to the Rate.).
