Transfer and Exchange Agents definition

Transfer and Exchange Agents means the Principal Transfer and Exchange Agent and the Luxembourg Transfer and Exchange Agent (and “Transfer and Exchange Agent” means any of them).
Transfer and Exchange Agents means the banks (including the Principal Transfer and Exchange Agent) referred to as such in the Conditions or any Successor Transfer and Exchange Agents, in each case at its specified office;

Examples of Transfer and Exchange Agents in a sentence

  • The names of the initial Paying, Transfer and Exchange Agents and their initial specified offices are set out below.

  • Any determination as to whether any Exchange Notice has been duly completed and properly delivered shall be made by the relevant Paying, Transfer and Exchange Agent (following consultation with the Issuer) and shall, save in the case of manifest error, be conclusive and binding on the Issuer, the Paying, Transfer and Exchange Agents and the relevant Noteholder.

  • As soon as practicable following receipt of a request, the Issuer will provide the Paying, Transfer and Exchange Agents and the holders of the Bonds with copies of the form of Exchange Notice for the time being current (which as at the date hereof is in the form attached as Schedule 1 to this Agreement).

  • The Issuer may at any time appoint additional Paying, Transfer and Exchange Agents and/or terminate the appointment of any Agent and/or vary the terms of such appointment by giving to the Principal Paying, Transfer and Exchange Agent and/or the Agent concerned not less than 30 notice to that effect, which notice shall expire at least 15 calendar days before or after any due date for payment in respect of any Bonds.

  • The identification code of the Paying, Transfer and Exchange Agents shall be as follows: ABENGOA/CITILON00 U.S.$279,000,000 5.125 per cent.

  • The Trustee and the Paying, Transfer and Exchange Agents shall have the right to rely on such determination without further inquiry and liability to any person.

  • Any calculation or determination performed by the Calculation Agent or an Independent Adviser, as the case may be, for the purposes of these Conditions shall be made in good faith and shall be final and binding (in the absence of manifest error) on the Issuer, the Noteholders and the Paying, Transfer and Exchange Agents and (in the case of a calculation or determination by an Independent Adviser) the Calculation Agent.

  • If the Principal Paying, Transfer and Exchange Agent has not by the due date for any payment in respect of the Bonds received the full amount payable (in free and cleared funds) on such date but receives it later, it will as soon as reasonably practicable give notice to the other Paying, Transfer and Exchange Agents, the Trustee and, if requested by the Trustee, the Bondholders in accordance with Condition 19 that it has received such full amount.

  • Unless they receive a notification from the Fiscal Agent under Clause 4.2 the Paying, Transfer and Exchange Agents will, subject to and in accordance with the Conditions and the procedures described in Schedule 7, pay or cause to be paid on behalf of the Issuer on and after each due date therefor the amounts due in respect of the Notes and will be entitled to claim any amounts so paid from the Fiscal Agent.

  • Any determination as to whether any Exchange Notice has been duly completed and properly delivered shall be made by the relevant Paying, Transfer and Exchange Agent and shall, save in the case of manifest error, be conclusive and binding on the Issuer, the Trustee, the Paying, Transfer and Exchange Agents, the Calculation Agent and the relevant Bondholder.
