TRANSCOM means Transcom Paraguay S.A. “Transfer Agent” means Citibank, N.A., in its capacity as the Transfer Agent and its successors and assigns. “Treasury Rate” means, with respect to any redemption date of a Note, the rate per annum equal to the semi-annual equivalent yield to the First Redemption Date (computed as of the third Business Day immediately preceding the redemption date of such Note) of the Comparable Treasury Issue, assuming a price for the Comparable Treasury Issue (expressed as a percentage of its principal amount) equal to the Comparable Treasury Price for that redemption date. “Trustee” means the Person named as the “Trustee” in the preamble to this Indenture until a successor Trustee shall have become such pursuant to the applicable provisions of this Indenture, and thereafter, “Trustee” shall mean such successor Trustee. “United States” or “U.S.” means the United States of America. “Unrestricted Subsidiary” means (1) any Subsidiary designated as such by the Company’s Board of Directors as set forth below and (2) any Subsidiary of an Unrestricted Subsidiary. The Company’s Board of Directors may designate any of the Company’s Subsidiaries to be an Unrestricted Subsidiary provided (A) no Default with respect to any Debt of such Subsidiary or any Subsidiary (other than any Unrestricted Subsidiary) of such Subsidiary (including any right which the holders thereof may have to take enforcement action against such Subsidiary) would permit (upon notice, lapse of time or both) any holder of Debt to declare a Default on such Debt or cause the payment thereof to be accelerated or payable prior to its Stated Maturity, and (B) if the Subsidiary to be so designated has total assets in excess of $250,000, the Company could make a Restricted Payment as a Permitted Investment in an amount equal to the fair market value

• THE LIABILITY OF TRANSCOM TO CUSTOMER OR ANY OTHER PARTY FOR ANY LOSS OR DAMAGES RESULTING FROM ANY CLAIMS, DEMANDS, OR ACTIONS ARISING OUT OF OR RELATING TO THE SERVICES, EQUIPMENT, OR MATERIALS PROVIDED OR AGREED TO BE PROVIDED BY TRANSCOM SHALL BE LIMITED TO SUCH AMOUNTS AS HAVE BEEN PAID TO TRANSCOM FOR SUCH SERVICES, EQUIPMENT, OR MATERIALS, (NOT TO EXCEED 90 DAYS SERVICE).

• ANY CLAIM AGAINST TRANSCOM MUST BE MADE WITHIN ONE YEAR OF THE EVENT GIVING RISE TO THE CLAIM OR 90 DAYS FROM THE TERMINATION OF SERVICE, WHICHEVER IS EARLIER, AND TRANSCOM SHALL HAVE NO LIABILITY THEREAFTER.

• IN ADDITION, TRANSCOM DOES NOT WARRANT THAT THE SERVICE OR EQUIPMENT WILL BE WITHOUT FAILURE, DELAY, INTERRUPTION, ERROR, OMISSION, DEGRADATION OF VOICE QUALITY, LOSS OF CONTENT, DATA, OR INFORMATION.

• TRANSCOM meets the second Wednesday of each month at 1:30 pm at the VCTC Office Large Conference Room.

• The Purchaser shall pay Purchase Price as per Schedule A, based on such energy credit given by DISCOM/ TRANSCOM to the Power Producer for power injected into the grid at the Delivery Point for further use of Purchaser.

• Prior to finalizing the plan, our team will (upon VCTC request) present the draft final plan and recommendations to the TAC, the Citizens Transportation Advisory Committee/Social Services Transportation Advisory Committee (CTAC/SSTAC), and the Transit Operators Advisory Committee (TRANSCOM) for review and approval.
