Transactions Liability definition
Transactions Liability means any Liability in relation to the Transactions other than (a) any Liability relating to the publication of any listing particulars or supplementary listing particulars by IHG or M and B pursuant to the Listing Rules; (b) any Liability relating to the Form 20-F of M and B which is expected to be declared effective by the Securities Exchange Commission on or before Completion; (c) any Liability or obligation of IHG, Six Continents or M and B arising under any provision of this Agreement which does not relate to a Transactions Liability ; (d) any Liability or obligation of IHG, Six Continents or M and B arising under the [Demerger Agreement or the] Demerger Sponsorship Agreement; or (e) the obligation to pay the Return of Capital (as defined in the Circular); “Transitional Services Agreement” means the agreement dated [•] between Six Continents and [M and B] relating to the provision of certain transitional services; and White Shield” means [White Shield].
