Transaction Step Plan definition

Transaction Step Plan means the transaction step plan set out in Schedule 9 setting out certain transaction steps to be undertaken in relation to the Group prior to, at and immediately following Completion;
Transaction Step Plan means the plan attached hereto as Exhibit F, with such changes as may be agreed in writing from time to time between the Parties.

  • The Parties acknowledge and agree that, notwithstanding the specificity of the procedures set forth in Section 2.2, the Parties will implement in good faith such procedures and take such other actions as may be required in order to give effect to the Merger and the Luxembourg Merger in accordance with the Transaction Step Plan, as reasonably agreed among the Parties and applicable Law.

  • Shareholder agrees that during the term of this Agreement, except as provided in this Section 5 or as set forth in the Transaction Step Plan, Shareholder will not, directly or indirectly, transfer, sell, offer, exchange, assign, pledge or otherwise dispose of or encumber (“Transfer”) any of the Shares or enter into any contract, option or other agreement with respect to, or consent to, a Transfer of, any of the Shares or Shareholder’s voting or economic interest therein.

  • No breach of this Agreement shall be deemed to have occurred as a result of any action taken by MPT and/or the Group Companies in relation to the implementation of the Pre-Completion Reorganisation in accordance with the Transaction Step Plan and/or the implementation of the Third Party Financing in accordance with the Third Party Financing Documents.
