Traded Security definition

Traded Security shall have the meaning set forth in Section 8.1(e).
Traded Security means a Security meeting all of the following criteria: (a) such Security (i) is listed on the New York Stock Exchange, American Stock Exchange or some other principal national securities exchange in the United States of America or (ii) has price quotations in the over-the- counter market reported by the National Association of Securities Dealers Automated Quotation System; (b) such Security is not subject to any instrument, document or agreement which in any way prohibits the sale of such Security for any specified period of time or otherwise (other than (x) prohibitions imposed to comply with applicable securities laws or (y) any agreement between the Borrower or a Guarantor and an underwriter entered into in connection with an offering by such underwriter of Securities of the issuer of such Security, in which agreement the Borrower agrees not to sell such Security for a period ending no later than 180 days after such offering); and (c) the offer and sale of such Security by the Borrower would not be subject to any registration requirements or other restrictions under the Securities Act or other Applicable Law other than (i) volume limitations imposed under Rule 144(e) of the Securities Act, (ii) restrictions on the manner of resale imposed under Rule 144(f) and (g) of the Securities Act, (iii) restrictions under Regulation 144A or S of the Securities and Exchange Commission and (iv) other restrictions related to the timing of offers and sales consented to by the Majority Lenders in writing.
Traded Security means a Security meeting all of the following criteria: (a) such Security (i) is listed on the New York Stock Exchange, American Stock Exchange or some other principal national securities exchange in the United States of America; (ii) has price quotations in the over-the-counter market reported by the National Association of Securities Dealers Automated Quotation System or (iii) is listed on the principal national securities exchange in Luxembourg, the Netherlands, the United Kingdom of Great Britain or other European country acceptable to the Co-Lead Arrangers; (b) such Security is not subject to any instrument, document or agreement which in any way prohibits the sale of such Security for any specified period of time or otherwise (other than (i) any agreement in existence on the date hereof among the equity holders of the Issuer of such Security, or any provision in existence on the date hereof in the Organizational Documents of such Issuer, which agreement or provision restricts the resale of such Issuer's Securities, as the same may be amended or otherwise modified with the prior written consent of Majority Lenders, and (ii) any agreement between Borrower or a Guarantor and an underwriter entered into in connection with an offering by such underwriter of Securities of the Issuer of such Security, in which agreement Borrower agrees not to sell such Security for a period ending no later than 180 days after such offering); and (c) the offer and sale of such Security by Borrower would not be subject to any registration requirements or other restrictions under the Securities Act or other Applicable Law other than (i) volume limitations imposed under Rule 144(e) of the Securities Act, (ii) restrictions on the manner of resale imposed under Rule 144(f) and (g) of the Securities Act, (iii) restrictions under Regulation 144A or S of the Securities and Exchange Commission and (iv) other restrictions related to the timing of offers and sales consented to by the Majority Lenders in writing.

Examples of Traded Security in a sentence

  • The Company may lift suspension of the Traded Security if the cause of the suspension no longer applies.

  • Mid-Price transaction is executed at the Mid-Price equal to the arithmetic of the best visible buy and sell price on the Market taking into account the following additional system conditions: 1) minimum depth of the Market for a given Traded Security (minimum number of price levels), 2) minimum time of Price stability on the Market, 3) number of price levels which should be taken into account in the calculation, 4) maximum level of spread between the buy and the sell.

Traded Security means a Qualifying Security which Agent determines in its sole discretion meets all of the following conditions at the time of determination thereof:

  • exchange-traded security means a security that is listed on a recognized exchange or is quoted on a recognized quotation and trade reporting system or is listed on an exchange or quoted on a quotation and trade reporting system that is recognized for the purposes of National Instrument 21-101 Marketplace Operation and National Instrument 23-101 Trading Rules;

  • Traded Securities means any debt or equity securities issued pursuant to a public offering or Rule 144A offering.

  • Publicly Traded Securities means, in respect of a transaction set forth in the definition of Fundamental Change, shares of common stock that are traded on a U.S. national securities exchange or which will be so traded or quoted when issued or exchanged in connection with such Fundamental Change.

  • Exchange Traded Fund means a mutual fund scheme that invests in securities in the same proportion as an index of securities and the units of exchange traded fund are mandatorily listed and traded on exchange platform.

  • Tender Security means the security required to be submitted by the Tenderer with its Tender Offer.
