The Company may require holders of Publicly Traded Warrants to settle the Warrant on a “cashless basis” pursuant to Section 7.4. If, by reason of any exercise of Warrants on a “cashless basis,” the holder of any Warrant would be entitled, upon the exercise of such Warrant, to receive a fractional interest in a share of Common Stock, the Company shall round down to the nearest whole number, the number of shares of Common Stock to be issued to such holder.
If the Depositary subsequently ceases to make its book-entry settlement system available for the Publicly Traded Warrants, the Company may instruct the Warrant Agent regarding making other arrangements for book-entry settlement.
Ownership of beneficial interests in the Public Warrants and, following the effectiveness of the Merger Warrants Registration Statement, Merger Warrants (together, the “Publicly Traded Warrants”) shall be shown on, and the transfer of such ownership shall be effected through, records maintained by institutions that have accounts with The Depository Trust Company (the “Depositary”) (such institution, with respect to a Warrant in its account, a “Participant”).
Subject to Section 4.6 of this Agreement, a Registered Holder of Publicly Traded Warrants may exercise its Publicly Traded Warrants only for a whole number of shares of Common Stock.
