Tradeable means Base Stock Consideration and Earn-Out Consideration to be registered for resale pursuant to the Securities Act on the business day following such issuance, with no lock-up restrictions imposed by the issuer thereof other than the Trading Limitations as specified in the Registration Rights Agreement.

  • If any of such delivered Shares or Share Termination Delivery Units remain after such realized net proceeds exceed the Freely Tradeable Value, Dealer shall return such remaining Shares or Share Termination Delivery Units to Issuer.

  • If DTC subsequently ceases to make its book-entry settlement system available for the Tradeable Warrants, the Company may instruct the Warrant Agent regarding making other arrangements for book-entry settlement.

  • This Trust Agreement will inure to the benefit of and be binding upon the parties hereto, the Holders of the Up-MACRO Holding Shares, the Holders of the Down-MACRO Holding Shares, the holders of the Up-MACRO Tradeable Shares, the holders of the Down-MACRO Tradeable Shares and their respective successors and permitted assigns.
