Trade Programs definition

Trade Programs means all outstanding existing programs, practices or arrangements that relate to trade discounts, trade promotions, marketing, advertising, promotional sales or coupons related to, used in or that affect the Business or the Assets, but excluding any Trade Programs primarily related to the Laredo Taco Company.
Trade Programs has the meaning set forth in Section 4.15.
Trade Programs means contracts, arrangements or understandings with (w) wholesalers, (x) retailers, (y) third-party suppliers of advertising, consumer promotion and other sales promotion materials or (z) any other person or entity, regarding offers of special purchase allowances, trade discounts, invoice discounts, or other promotional allowances or concessions, in each case with respect to products of the Business; provided that no coupon redemption shall be deemed to be included in the definition of Trade Programs. Any undisputed amounts to be paid by Seller or Buyer, as the case may be, under this Section 2.10 shall be paid within ten (10) days of receipt by Seller or Buyer, as the case may be, of an invoice from Buyer or Seller, as the case may be, for such amounts, together with such other documentation as the paying party reasonably may request.

Examples of Trade Programs in a sentence

  • Seller must continuously monitor Seller’s materials sourcing, bills of material, and/or formulations for changes that might affect the validity of any origin determination or certificate of origin provided to Buyer as required by such Trade Programs.

Transfer Date means, for each Employee who receives an offer of employment or who is intended to transfer automatically pursuant to applicable Law pursuant to Section 6.03 of this Agreement, the date on which such Employee’s employment shall transfer to Buyer or its Affiliates, which shall be either the Closing Date or such other date as contemplated by Section 6.03(a), as applicable. Transfer Regulations means the European Directive 2001/23/EC (as amended), the United Kingdom Transfer of Undertakings (Protection of Employment) Regulations 2006 (as amended) and any equivalent provisions under any applicable Law. Transfer Taxes shall have the meaning set forth in Section 6.11.
