Trade Out Transaction means an exchange by the Borrower or any Subsidiary of advertising time for non-cash consideration, such as goods, services or program material.

"TRANCHE A TERM LOAN COMMITMENT PERCENTAGE": as to any Lender, the percentage which such Lender's Tranche A Term Loan (or, prior to the Closing Date, Tranche A Term Loan Commitment) constitutes of the aggregate then outstanding principal amount of Tranche A Term Loans (or Tranche A Term Loan Commitments). "TRANCHE B TERM LOAN" and "TRANCHE B TERM LOANS": as defined in subsection 3.1. "TRANCHE B TERM LOAN COMMITMENT": as to any Lender, its obligation to make a Tranche B Term Loan to the Company on the Closing Date pursuant to subsection 3.1, in an aggregate amount not to exceed the amount set forth opposite such Lender's name in Schedule I under the heading "Tranche B Term Loan" and in an aggregate amount not to exceed the amount equal to such Lender's Tranche B Term Loan Commitment Percentage of the aggregate Tranche B Term Loan Commitments; collectively, as to all the Lenders, the "TRANCHE B TERM LOAN COMMITMENTS".
