TP Notice definition

TP Notice has the meaning given to it in Clause 9.3;

Examples of TP Notice in a sentence

  • Upon written request by AOL given within five (5) days after the TP Notice, the Parties shall negotiate in good faith for a period of thirty (30) days (“Negotiating Period”) regarding a Transfer to AOL.

  • In respect of potential Tax claims covered by Clause 9.1(b), the Seller shall not be liable in respect of such Tax claims unless a TP Notice is received within 6 years of the date of Completion.

  • The AIFM shall make such notifications or disclosures and make such adjustments as it is required to do under the UK AIFM Regime (and, where applicable, the EU AIFM Directive) as soon as reasonably practicable following the receipt of the Company TP Notice and in accordance with any specific instructions of the Company.

  • If the AIFM proposes a change to the Thresholds and Profiles, including any change expressly required by the FCA or applicable law or regulation, it shall give advance notice to the Company ("AIFM TP Notice").

  • In the event that the Company does not accept the proposed change given in the AIFM TP Notice it may terminate this Agreement pursuant to Clause 24.2. For the avoidance of doubt the AIFM shall be entitled to take such steps with regards to such change as it deems appropriate prior to the effective date of any such termination.

  • In the event that the AIFM does not accept the proposed change given in the Company TP Notice it may terminate this Agreement pursuant to Clause 24.1.
