In the event that the responsibility for the management of the Tower Property is transferred from Manager in accordance with the provisions hereof, Manager shall, and hereby agrees to, fully cooperate in transferring its responsibility to a new management company and effectuate such transfer no later than thirty (30) days from the date the Tower Management Agreement is terminated.
To the Borrower's knowledge, (i) except as set forth on Schedule 4.25 or as could reasonably be expected to cause an Individual Property Material Adverse Effect, no legal proceedings are pending or threatened with respect to the zoning of any Tower and (ii) except as set forth in the Title Policies, neither the zoning nor any other right to construct, use or operate any Tower Property is in any way dependent upon or related to any real estate other than such Tower Property.
Except as set forth in Section 6.4.3, Napster does not have, and does not receive under this Agreement, any rights in or to any Tower Property.
