The Underutilization Charge is calculated by subtracting Customer’s Total Usage Charges from the AVC t o arrive at the Unfulfilled AVC and multiplying that number by the percentage shown.
The Early Termination Charge is calculated by subtracting Customer’s Total Usage Charges from the AVC t o arrive at the Unfulfilled AVC and multiplying that number by the percentage shown.

If Customer's interstate and international Total Usage Charges for such monthly billing period are less than the One-Time Credit, the excess amount of such One-Time Credit will then be applied to Customer's interstate Total Usage Charges in the next consecutive monthly billing period.
During each Monthly Period of the Term, Customer’s Total Usage Charges under this Agreement must equal or exceed *** (the “Monthly Minimum”).
In the event Customer’s Total Usage Charges under the Agreement exceed $2,000,000.00 on or after the 24th monthly billing period of the Term, then, provided Customer has met all other obligations hereunder, Customer may terminate the Agreement without further obligation or liability by providing the Company with written notice of intent to terminate at least 30 days prior to expected termination date.
During each full month of the Extension Term, Customer’s Total Usage Charges under the Agreement must equal or exceed $275,000 (the “Extension Term Monthly Minimum”).
Minimum Volume Commitment – Renewal Term: During each contract year of the Renewal Term, Customer’s Total Usage Charges under the Agreement must equal or exceed $3,300,000 (the “Renewal Term Annual Minimum”).
