Total Unique Users definition

Total Unique Users means, for a given measurement period, the aggregate number of unique users across the Say Platform or the combined content management systems controlled by TheMaven, as the case may be, during such period, as determined by Google Analytics, consistent with the technology and measuring practices used by Seller to calculate Total Unique Users during each calendar month during the twelve (12) most recently completed calendar months prior to the Closing; provided, however, that “Total Unique Users” shall not include any traffic purchased by Seller; provided, further, however that Seller’s receipt of its contractual revenue share and fees from publishers shall not be deemed to be a purchase of traffic.
Total Unique Users means the aggregate number of unique users to (i) the HP Domains and (ii) any other content hosted on a content-management system of the Company in existence as of the date hereof, in each case of (i) and (ii), during any calendar month, determined by Google Analytics consistent with the technology and measuring practices used by the Company to calculate Total Unique Users during each calendar month during 2017. In calculating Total Unique Users, duplicates within each HP Domain, but not between HP Domains, shall be eliminated.
