Total Net Asset Value definition
Total Net Asset Value means, at the relevant date, the sum of (a) the Aggregate Fund Value at such date, and (b) the Discounted SREC Assets at such date; provided, however, that (1) to the extent any 3rd party independent engineering report provided pursuant to Section 7.01(f) demonstrates that the Assumptions with respect to [***] used in connection with any Advance Model were materially and adversely incorrect, then the Administrative Agent in its reasonable discretion may make adjustments to the Assumptions to reflect the results of such findings, and (2) the Discounted SREC Assets attributable to Unhedged SRECs shall not represent more than [***]% of Total Net Asset Value at such date.
Total Net Asset Value means, with respect to all or any subset of the Eligible Investments owned by the Issuer as of any date of determination, the aggregate value of such Eligible Investments (determined as provided herein under "The Investment Advisory Agreement—Determination of Aggregate NAV Amount"). "Asset Class" means the sector categories for purposes of ratings criteria used by Moody's Investors Services, Inc. in connection with its rating of structured finance assets.

Each Borrower shall be liable only for that portion (the "Pro Rata Portion") of the facility fee as the daily average Total Net Asset Value (the "Average Net Assets") of such Borrower bears to the total Average Net Assets of all Borrowers as to whom the Commitment has not been terminated, in each case computed during the period during which such facility fee has accrued.
