Tool Compound definition

Tool Compound means a Compound that is not Created within the Project and that is used in the course of a Project for reference or characterization purposes and which shall be identified as such within the respective Project Plan for a Project.
Tool Compound means a chemical (e.g. small molecule) or biological compound (e.g. antibody, protein, peptide, nucleic acid molecule) which is useful for probing biology but lacks some essential characteristics required for further progression as a drug development candidate and has been approved by CRUK and Bayer for use by the Grantholder as a Tool Compound.
Tool Compound means a compound selected and used by RAPT, including to generate non-clinical efficacy data, that is an analogue to the Compound.

  • If the Tool Compound is provided by Bayer, Bayer shall inform Recursion that the Tool Compound is in clinical or therapeutic use.

  • In the event that CombinatoRx decides to not file a patent application covering any Novartis Tool Compound Project Intellectual Property or to abandon any such patent application or Patent issued therefrom, CombinatoRx shall provide notice to Novartis [*] PORTIONS OF THIS EXHIBIT HAVE BEEN OMITTED PURSUANT TO A CONFIDENTIAL TREATMENT REQUEST.

  • Upon delivery of the Option Exercise Notice to CombinatoRx, the license to CombinatoRx’s interest in such Novartis Tool Compound Project Intellectual Property pursuant to Section 3.2(c) shall immediately and automatically become the Exclusive License.

  • At the time GSK provides a GSK Tool Compound to Pharmacopeia, GSK shall grant, and hereby does grant to Pharmacopeia, a non-exclusive license to use the GSK Tool Compound under the relevant GSK Tool Compound IP owned or Controlled by GSK for use only in biological assays pursuant to a Program (i) as a positive control in an assay to modulate the activity of the applicable Target and/or (ii) to find non-active site inhibitors, and for no other purpose.

  • In addition, the Parties understand and agree that Pharmacopeia shall not use the GSK Tool Compound or the GSK Tool Compound IP as a starting point or as an intermediate in any chemistry efforts or any structure-activity-relationship studies (SAR studies) under a Program to identify or optimize any chemical compound or series to be progressed by Pharmacopeia pursuant to any Program.

  • Ownership of all Information generated by or on behalf of Hanmi and its Affiliates and Third Party subcontractors using the Tool Compound or Compound in the course of the Research Program (“Research Results”), and RAPT’s right to use and disclosure such Research Results, shall be governed by Section 4.3 (Information Transfer to RAPT).

  • For avoidance of doubt, Pharmacopeia shall not be permitted to transfer or disclose any GSK Tool Compound or any GSK Tool Compound IP or any information regarding the chemical structure of any GSK Tool Compound to a Third Party without GSK’s prior written consent.

  • To the extent practical, CombinatoRx shall provide Novartis with all filings related to the prosecution and maintenance of Novartis Tool Compound Project Intellectual Property reasonably in advance of the filing thereof and shall consider all of Novartis’ comments on such filings in good faith.

  • With respect to publications containing Novartis Tool Compound Project Intellectual Property that has not been exclusively licensed to Novartis pursuant to Section 3.5, each Party shall review each such proposed publication in order to avoid the unauthorized disclosure of such Party’s confidential information and to preserve the patentability of inventions arising from the Research Collaboration.

  • Publications containing any Novartis Protected Compound Project Intellectual Property, and/or any Novartis Tool Compound Project Intellectual Property that is exclusively licensed to Novartis pursuant to Section 3.5, shall not be made without the prior written consent of Novartis, such consent to be in Novartis’ sole and absolute discretion.

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid, a quantity of soluble lead compound exceeding, when calculated as lead monoxide, five per cent of the “dry weight” of the portion taken for analysis. In the case of paints and similar products and other mixtures containing oil or fat the “dry weight” means the dry weight of the material remaining after the substance has been thoroughly mixed and treated with suitable solvents to remove oil, fats, varnish or other media.

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).
