  • This Agreement constitutes the entire agreement and understanding between the parties with respect to the subject matter hereof and supersedes and preempts any prior understandings, agreements or representations by or between the parties, written or oral, which may have related in any manner to the subject matter hereof, including the Amended and Restated Employment Agreement, dated August 17, 2010, among Executive, TNHC Realty and Construction Inc.

  • Nothing in this Agreement shall be construed as a guarantee by TNHC of TNHC Realty’s obligations under the Construction Contract and/or the Sales and Marketing Agreement.

  • Any dilution to the Percentage Interest of TNHC Partners below 50% is subject to the prior written consent of TNHC Partners in its sole and absolute discretion.

  • Neither the Company nor any Holder shall assign all or any part of this Agreement without the prior written consent of the Company and the TNHC Stockholders; provided, however, that the TNHC Stockholders may assign in whole or in part to any of its Affiliates.

  • The removal of TNHC shall be effective immediately after the delivery of the Removal Notice to TNHC.

  • TNHC, however, shall determine in its sole discretion whether to provide any payment guarantees (including without limitation any loan-to-value maintenance guaranty) with respect to a Company Obligation.

  • The foregoing power of attorney is hereby declared to be irrevocable and coupled with an interest, and it shall survive the dissolution or liquidation of TNHC, and upon the transfer of its Membership Interest, shall extend to the successors and assigns of TNHC.
