TMM Assets definition
TMM Assets has the meaning set forth in the Stock and Asset Purchase Agreement.
TMM Assets shall have the meaning set forth in the Stock and Asset Purchase Agreement. “Stock and Asset Purchase Agreement” shall mean the Amended and Restated Stock and Asset Purchase Agreement, dated August 31, 2013, among the Borrower, Qualex Inc., Kodak (Near East) Inc., as sellers and KPP Trustees Limited.

In addition, Purchaser and Seller shall work together in good faith to explore mutually acceptable arrangements that would permit Seller to transfer to Purchaser any or all of the TMM Assets and TMM Liabilities at a date or dates prior to the TMM End Date without (i) causing a disruption to the TM Model in any manner adverse to Seller, Purchaser, or any of their respective Affiliates or (ii) imposing additional burdens (whether economic or non-economic) on any Seller Party.
