TLH Assignment Agreement definition

TLH Assignment Agreement means that certain TLH Assignment Agreement, to be dated as of the Closing Date, by and among TLH, TLC, NMP Holdings, LLC and certain Affiliates of Purchaser, relating to the assignment and/or delegation of certain rights and obligations of TLH, substantially in a form and substance to be negotiated by the parties hereto after the date hereof. When the form and substance of the TLH Assignment Agreement are so negotiated and documented to the satisfaction of all parties thereto, in their respective sole and absolute discretion, the TLH Assignment Agreement will be attached as an exhibit hereto.
