  • Correspondingly, in the event that the Closing does not occur on or before February 28, 2002 as a result of a material breach by Canal+, TKP or any of their Group Companies of any of their obligations under this Agreement, Canal+ shall pay to UPC liquidated damages in the amount of (euro)20 million, in particular to compensate UPC for the prejudice suffered by its agreement to the standstill set forth in Article 4.5 and the time and expense invested in such negotiations.

  • Initially, at the time of the Closing, the TKP Management Board shall be composed of three (3) members.

  • On the Closing Date, TKP shall assume, either through a direct agreement with the beneficiary of the guarantee or through a series of back-to-back arrangements with the other Party, the obligations in the guarantees identified in Schedule 8.11(a).
