TK Payment definition

TK Payment has the meaning set forth in Section 2(c) below. "Waiver Letter" means the letter agreement dated June 15, 2001 between the Seller and Coach Inc.

  • At the Closing the Buyer shall determine the allocation of the amount of the TK Payment among (i) the repayment of the TK Investment, (ii) the distribution of all accrued Net Profits and Net Losses, and (iii) the termination payment to compensate TK Investor No.2 for loss of benefit under TK Agreement No.2.

  • Delta Payment means as it is described in this Agreement.

  • Stock Payment means (a) a payment in the form of shares of Stock, or (b) an option or other right to purchase shares of Stock, as part of any bonus, deferred compensation or other arrangement, made in lieu of all or any portion of the compensation, granted pursuant to Article 8.
