  • TINZ represents and warrants that, as at the time of execution of this Agreement, no member of the Trilogy Group or any of its Representatives are in any negotiations or discussions, or party to any agreement or arrangement, in connection with, or that could reasonably be expected to lead to, any Competing Proposal.
