Time Vested definition

Time Vested has the meaning set forth in Section 3.2(e).
Time Vested means, with respect to the Covered Shares at any particular time (including at any time the Option is exercised), the number of the Covered Shares that have become time vested in accordance with the Vesting Schedule; provided, however, that (A) upon a Change of Control that occurs prior to the termination of Optionee’s Service for any reason, all of the Covered Shares that are not then Time Vested shall automatically become Time Vested, and (B) upon a termination by the Company or its stockholders of the Optionee’s Service without Cause, all of the Covered Shares that are not then Time Vested shall automatically become Time Vested.
Time Vested. Subject to the Termination provisions below, twenty five percent (25%) of the Time Vested Restricted Stock shall vest on each of March 31, 2010, March 31, 2011, March 31, 2012, and March 31, 2013.

Examples of Time Vested in a sentence

  • The LTIP consists of two types of share awards, the Performance Award and the Time Vested (“Restricted”) Award.

  • The unvested Phantom Units (whether Time Vested Units or Performance Vested Units) shall not be entitled to receive distributions made by the Partnership to holders of common units.

  • All unvested Time Vested Units and Performance Vested Units hereunder are subject to the forfeiture provisions of Section 1.7 hereof and to the clawback provision referenced in Section 2.2 hereof.

  • All other outstanding awards granted to the Eligible Executive under the LTIP on and after February 17, 2009, and any Time Vested Awards that provide for a deferral of compensation within the meaning of Code Section 409A, shall be payable, if at all, in accordance with the terms of the LTIP and the applicable award (and, if applicable, deferral) agreements.

  • Hence, any forfeiture of Time Vested RSUs or Performance RSUs applies only to the RSUs for which a Release Date had not yet occurred on the date of forfeiture.

Related to Time Vested

  • Vest means to become exercisable or to otherwise obtain ownership rights in an award.

  • Initial Vesting Date means the date occurring one (1) year after the Date of Option Grant.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Vested means the nonforfeitable portion of any account maintained on behalf of a Participant.

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Vesting Dates means, as determined by the Board or by the Committee, the date as of which the Optionee shall be entitled to exercise the Options or part of the Options, as set forth in section 11 of the ISOP.

  • Vested Units means those Units listed as vested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Performance Option means an Incentive Stock Option or Nonqualified Stock Option, the grant of which or the exercisability of all or a portion of which is contingent upon the attainment of specified Performance Measures within a specified Performance Period.

  • Nonforfeitable means a Participant's or Beneficiary's unconditional claim, legally enforceable against the Plan, to the Participant's Accrued Benefit.

  • Vesting Event means the earliest to occur of the following events:

  • Vesting Commencement Date means the Grant Date or such other date selected by the Committee as the date from which an Award begins to vest.

  • Unvested Units means those Units listed as unvested Units in the books and records of the Partnership, as the same may be amended from time to time in accordance with this Agreement.

  • Vested Shares means "Vested Shares" as defined in the Award Agreement.

  • Forfeiture Period means the period from the Grant Date until the Forfeiture Date.

  • Company PSUs means any performance-based restricted stock units of the Company, whether granted pursuant to any of the Company Stock Plans or otherwise.

  • Core Units means such Units of the Trust that are issued to Core Investors with the condition that these are not redeemable for a period of two years from the close of the First Offer Period. Such Units are transferable with this condition, but otherwise shall rank pari passu with all other Units, save for this restriction. Any transfer of the Core Units, during the first two years of their issue as mentioned herein, shall be affected only on the receipt by the Registrar of a written acceptance of this condition by the transferee.

  • Time balance means the sum of the principal amount financed and the finance charge.

  • Grant Year has the same meaning as in subclause 1(1) of Schedule 1 of HESA; ‘HESA’ means the Higher Education Support Xxx 0000; ‘maximum basic grant amount’ or ‘MBGA’ has the same meaning as in subclause 1(1) of Schedule 1 of HESA.

  • Time Block means a time block of 15 minutes, for which specified electrical parameters and quantities are recorded by special energy meter, with first time block starting at 00.00 hrs;

  • Performance Date means December 31, 2025. If the Locality, in consultation with VEDP, deems that good faith and reasonable efforts have been made and are being made by the Company to achieve the Targets, on or before the Performance Date the Locality may request an extension of the Performance Date by up to 15 months. Any extension of the Performance Date shall require the prior approval of the Company and the Board of Directors of VEDP (the “Board”). If the Performance Date is extended, the Locality shall send written notice of the extension to the Authority, the Company and VEDP and the date to which the Performance Date has been extended shall be the “Performance Date” for the purposes of this Agreement.

  • Vesting Period means the period of time specified by the Committee during which vesting restrictions for an Award are applicable.

  • Vested Percentage means the sum of the following percentages: (i) 2% multiplied by your Years of Service, plus (ii) 8% multiplied by the number of Years you have been designated a participant in the Plan; provided, however, (w) prior to completing five Years of Service the Vested Percentage is 0,(x) on or prior to your fiftieth birthday your Vested Percentage may not exceed 50%, (y) on or prior to each of your birthdays following your fiftieth birthday your Vested Percentage may not exceed the sum of 50% plus the product obtained by multiplying 5% by the number of birthdays that have occurred following your fiftieth birthday, and (z) your Vested Percentage in no event may exceed 100%.

  • Vesting Percentage means the percentage by which the Target Total Award is multiplied as set forth in the chart in Section II below.

  • Measurement Date means the most recent Payment Date specified in the first column of the Cumulative Net Loss Rate Table.
