Upon the occurrence of any damage or destruction to the Building which materially affects Tenant's ability to use the Premises, Landlord shall provide to Tenant a written notice of Landlord's contractor's reasonable estimate of the time required to complete the repair and restoration of such damage or destruction (the "Time Estimate").
Notwithstanding anything to the contrary herein, if Landlord's Repair Time Estimate indicates that it will take more than two hundred and seventy (270) days after the occurrence of such damage or destruction to complete such restoration or repair, Tenant may terminate this Lease by written notice to Landlord within thirty (30) days after Tenant's receipt of Landlord's Repair Time Estimate.
In all events, prior to the Company beginning any rebuild, restoration or repair of the Property, the Company will deliver to both Acquirors the Cost and Time Estimate reflecting that such rebuild, restoration or repair of the Property will cost $45,000,000 or less and that shows that such rebuild, restoration or repair will be completed prior to the Outside Date.
If the Time Estimate estimates that such repair and restoration will take more than three hundred (300) days to complete (measured from the date of occurrence of such damage or destruction) Tenant may elect to terminate this Lease upon written notice to Landlord, which notice shall be given, if at all, within twenty (20) days following Tenant's receipt of the Time Estimate.
If the parties hereto are unable to reach mutual agreement, after using their good faith reasonable best efforts to reach mutual agreement, on the amount of the Repair Estimate and the Time Estimate, either party may initiate the procedures set forth in Schedule 8.4 for the purpose of utilizing such mechanisms as may be reasonably appropriate and available to them to determine in all due haste such matters prior to the Termination Date (as extended pursuant to this Section 8.4, if applicable).
If Landlord does not complete the Restoration within ninety (90) days after the applicable Time Estimate or Revised Time Estimate (as defined below), as the case may be, as extended for delays caused by Force Majeure ("Extraordinary Delay"), then Tenant may terminate this Lease by written notice given to Landlord within fifteen (15) days after expiration of such period.
Within thirty (30) days after the occurrence of any damage to or destruction of the Premises (whether insured or uninsured) which Landlord is obligated or elects to repair and restore pursuant to this Article 6, Landlord will give written notice to Tenant setting forth Landlord's contractor's reasonable determination as to the time necessary to complete such repairs and restoration ("Landlord's Repair Time Estimate").
