TI Documentation definition

TI Documentation means any documentation, specifications, and other materials, digital or otherwise, describing and facilitating the use of the TI APIs or the TI Software. For clarity, TI Documentation does not include TI APIs or TI Software.
TI Documentation means the following documentation required to be delivered by Tenant to Landlord for the disbursement of the Tenant Improvement Allowance: (i) A certification by tenant's architect that the Tenant Improvement Work has been completed in accordance with Tenant's plans therefor and in compliance with all applicable laws, which plans shall have been approved by Landlord prior to commencement of the Tenant Improvement Work in accordance with Section 20, and which certification shall be subject to verification by Landlord; (ii) Copies of all invoices for labor and materials for the Tenant Improvement Work in an aggregate amount not less than the amount of the disbursement which Tenant is requesting from the Tenant Improvement Allowance; (iii) Evidence of the satisfactory completion of all required inspections and issuance of any required approvals and signoffs of public authorities with respect thereto, if any; and (iv) An executed and acknowledged release of mechanic's liens with respect to the Premises executed by Tenant's general contractor and by every subcontractor and supplier of labor and/or materials engaged in or supplying materials for the Tenant Improvement Work. Notwithstanding anything set forth above, when the conditions set forth above for payment of the Tenant Improvement Allowance have been satisfied, Landlord shall have the right, at Landlord's sole option, to either (A) pay the Tenant Improvement Allowance to Tenant or (B) apply the Tenant Improvement Allowance to the next due installment of Base Rent. Notwithstanding anything set forth above, any portion of the Tenant Improvement Allowance for which Tenant has not submitted the TI Documentation on or before December 31, 2026 shall be deemed forfeited by Tenant and Tenant shall have no further right thereto.

  • No right, title or interest in any accessed or downloaded TI Data or TI Documentation is transferred to Customer as a result of this license.

  • TI owns all right, title, and interest in and to the TI APIs, TI Software, TI Documentation, and TI Data.

  • It will be a material breach of this Agreement by Customer to use the TI APIs, TI Software, TI Documentation, or TI Data in a manner that is not permitted under this Agreement, and TI may terminate the Agreement and invalidate Customer’s Identifier(s) with prior written notice to Customer for such material breach.

  • Nothing in this Agreement will be construed as an obligation for TI to maintain or provide technical support of any kind for the TI APIs, TI Software, TI Documentation, or TI Data.

  • Customer acknowledges and agrees that TI may make changes, modification, and improvements to the TI APIs, TI Software, TI Documentation or TI Data at any time at TI’s sole discretion.

  • The Parties agree that all inventions, product improvements, and modifications to any TI API, TI Software, TI Documentation or TI Data conceived of or made by TI that are based, either in whole or in part, on Customer’s feedback, suggestions, or recommended improvements, are the exclusive property of TI, and all rights, title and interest in and to any such invention, product improvement, or modification to the TI APIs, TI Software, TI Documentation and TI Data will vest solely in TI.

  • Customer will comply, and will ensure that its subsidiaries comply, with all applicable laws and regulations whenever it exports, re-exports, or transfers TI APIS, TI Software, TI Documentation, or TI Data.

  • Customer may not use any of the marks or logos appearing throughout the TI Data or TI Documentation without express written consent from TI.

  • Upon termination of this Agreement for any reason, Customer shall immediately cease using the TI APIs, TI Software, TI Documentation and TI Data and promptly remove from the Customer Applications and delete or otherwise destroy all or any portion of TI Software, TI Documentation, and TI Data, and certify to such deletion or destruction, if requested by TI.

  • TI reserves the right, in its sole discretion, to terminate or modify this Agreement, Customer’s access to all or any part of TI APIs, TI Data, TI Documentation or TI Software, without notice, at any time and for any reason, or for no reason at all.
