TI Capital definition

TI Capital shall have the meaning set forth in the preamble hereto.

  • If the TI IPO has not occurred six months after the Effective Date, the TI Shares that IDT may purchase pursuant to this Section 3.3(b) shall be reduced by the percentage decline in annualized revenues described in the previous sentence or, if IDT elects not to purchase shares of TI common stock pursuant to this Section 3.3(b), the TI Capital Contribution shall be reduced by the amount of such decline in annualized revenues multiplied by the Customer Revenue Multiple and then multiplied by 51%.

  • TI shall make the TI Capital Contribution during the first two years following the Effective Date.

  • IDT shall have the right, in connection with any such additional capital contributions, to require TI to fund IDT's pro rata portion of such additional capital contribution up to IDT's Percentage Interest of the TI Capital Contribution, to the extent that TI is still required to provide funds under the TI Capital Contribution.

  • Subject to paragraph (c) of this Section 3.4, to the extent TI USA ISP requires investment funds in addition to the TI Capital Contribution, the Parties agree to make additional capital contributions from time to time in accordance with the Percentage Interests set forth in Section 3.2 above (as the same may be adjusted from time to time as provided herein) and in such amounts as are sufficient to enable the Parties to carry out the purposes of this Agreement.

  • Equity Capital means capital invested in common or preferred stock, royalty rights, limited partnership interests, limited liability company interests, or any other security or rights that evidence ownership in a private business.

  • Net Capital as used in this rule, shall mean the difference between total assets and total indebtedness, as determined by generally accepted accounting principles, consistently applied, and thereafter adjusted pursuant to paragraph (K)(2) of this rule.

  • Venture capital fund means a private fund that meets the definition of a venture capital fund in SEC Rule 203(l)-1, 17 C.F.R. § 275.203(l)-1.

  • Minimum capital or "minimum required capital" means the capital that must be constantly maintained by a stock insurance corporation as required by statute.

  • Unit Capital means the aggregate of the face value of units issued under the scheme and outstanding for the time being.
