Seller (itself or by way of its ownership of each RZ Subsidiary) has good, clean, and marketable title to its interest in the TI Assets, subject only to the possible lien on the Intellectual Property in favor of ▇▇▇▇▇ & ▇▇▇▇▇▇▇ (or its affiliates).
