THRS is a company duly organized and validly existing in good standing under the Laws of Switzerland.
There is no audit, claim, action, suit, proceeding or investigation pending against any of the Conveyed Companies, or against THRS with respect to the Purchased Intellectual Property Assets, nor has any Seller or any of the Conveyed Companies been informed in writing of the commencement or anticipated commencement of any such activity.
