Third Party Transferee definition

Third Party Transferee has the meaning specified in Section 3.2.

Third Party Transferee means any Person to whom a Stockholder (including a Third Party Transferee subject to this Agreement pursuant to Section 4.5(b) and Section 4.5(c)) or a Permitted Transferee Transfers Common Shares, other than a Permitted Transferee of such Stockholder or a member of another Stockholder Group. For the avoidance of doubt, a Qualified Distribution Transferee shall not be deemed a Third Party Transferee.

More Definitions of Third Party Transferee

Third Party Transferee shall have the meaning ascribed to such term in the Stockholders Agreement.
