Third Party Outage definition

Third Party Outage means an outage or incident arising from a non-Paymark controlled network or system component including ISP server or component failures, telecommunications network failures and local area faults. In this Agreement, unless the context indicates otherwise:
Third Party Outage means unavailability of the WIPS Plus, which is caused by an external third party and not by you, Westpac or DPS.
Third Party Outage means unavailability of Get Paid, which is caused by an external third party and not by the Merchant or Westpac.

  • In no circumstance will Paymark be liable in respect of, or be responsible to resolve, a Third Party Outage.

  • In no circumstance will Worldline NZ be liable in respect of, or be responsible to resolve, a Third Party Outage.

  • Notwithstanding the immediately preceding sentence, Operator is only obligated to reimburse Customer for Restoration Expenses for a Third Party Outage when and only to the extent that Operator is successful in finally recovering damages (less Operator's attorneys' fees, court costs and collection expenses) from such third party.

  • Planned Outage means the removal of equipment from service availability for inspection and/or general overhaul of one or more major equipment groups. To qualify as a Planned Outage, the maintenance (a) must actually be conducted during the Planned Outage, and in Seller’s sole discretion must be of the type that is necessary to reliably maintain the Project, (b) cannot be reasonably conducted during Project operations, and (c) causes the generation level of the Project to be reduced by at least ten percent (10%) of the Contract Capacity.
