The Carlisle Circular will include information in sufficient detail to permit the Carlisle Shareholders to form a reasoned judgment concerning the matters to be placed before them at the Carlisle Meeting, and to allow reliance upon the Section 3(a)(10) Exemption with respect to the issue of the 3(a)(10) Securities as part of completion of the Arrangement.
If such notice has been delivered prior to the date of the Carlisle Meeting, the Carlisle Meeting shall be adjourned or postponed until the expiry of such period.
Subject to subsection 6.2(e), Carlisle shall not adjourn, postpone or cancel the Carlisle Meeting (or propose to do so), except: (i) in the case of an adjournment, if quorum is not present at the Carlisle Meeting; (ii) if required by applicable Laws; (iii) if otherwise agreed with Alamos; or (iv) if required by the Court.
For greater certainty, no Change in Recommendation shall relieve Carlisle from its obligation to proceed to call and hold the Carlisle Meeting and to hold the vote on the Arrangement Resolution (provided that, except as required under applicable Laws, Carlisle shall be relieved from its obligations to actively solicit proxies in favour of the Arrangement in such circumstances), except in circumstances where this Agreement is terminated in accordance with the terms hereof.
