The term "GOVERNMENTAL AUTHORITY" means: (a) the government of the United States of America or any State or other political subdivision thereof, or any jurisdiction in which the Company, Angellan or any Subsidiary conducts all or any part of its business, or which asserts jurisdiction over any properties of the Company, Angellan or any Subsidiary; or (b) any domestic or foreign entity exercising executive, legislative, judicial, regulatory or administrative functions of, or pertaining to, any such government, including, without limitation, the FDA.
