Seller shall cooperate with Hillsdale in obtaining any required lender consents. 1.3.2 Prior to the Closing Date, Buyer shall deposit into Escrow the balance of the Purchase Price, subject to adjustment by reason of any applicable prorations and the allocation of closing costs described below. The deposit required by this Section 1.3.2 shall be made by wire transfer of federal funds or in another immediately available form.
