The North Face definition

The North Face and "La Sportiva" in all jurisdictions in which such trade name and related trademark are in use by the Company, and, to the Company's knowledge, there is not any conflict in any jurisdiction in which such trade name and related trademark are in use by any Person with the rights of the Company therein or any conflict by the Company with the rights of any other Person therein. No license to use such name has been granted to any Person. Except as set forth in Section 6.18(c) of the --------------- Company Disclosure Letter, the Company has all patents, trademarks, trade names, service marks, trade secrets, copyrights and other proprietary intellectual property rights, or licenses in respect of any such rights owned by others, as are necessary to continue the Company's business substantially as currently conducted, and, to the Company's knowledge, there is not any conflict in any jurisdiction in which any such proprietary intellectual property is in use by any Person with the rights of the Company therein or any conflict by the Company with the rights of any other Person therein, except where in any case or in the aggregate such failure to have such rights or such conflict would not be likely to be material. Section 6.18(d) of the Company Disclosure Letter sets forth a --------------- list of all license agreements that the Company or any of its Subsidiaries have entered into in connection with the Company's trade names, patents, trademarks, service marks, copyrights or other intellectual property rights, all of which such license agreements are valid and binding upon the Company and, to the Company's knowledge, the other parties thereto.
