Examples of the Members in a sentence
The Company and the Seller shall have delivered to Buyer a certificate executed by the Secretary of the Company certifying: (i) resolutions duly adopted by the Members of the Company, authorizing this Agreement and the Transactions; (ii) the Company’s Organizational Documents as in effect immediately prior to the Closing Date, including all amendments thereto; and (iii) the incumbency of the officers of the Company executing this Agreement and all agreements and documents contemplated hereby.
All funds of the Company will be deposited in a separate bank account or in an account or accounts of a savings and loan association in the name of the Company as determined by a Majority of the Members.
If the Members disagree as to the budget, or the relative contribution due from each Member, the City Councils of each Member shall appoint a representative to meet together with the Governing Body to negotiate an agreed resolution prior to invoking the mediation process set forth in Section 12, below.
Except as provided in this Clause 17, the Company shall not assign or delegate any of their rights or obligations hereunder without the prior written consent of the Members of the Syndicate.
The Seller and Company have made available to the Buyer correct and complete copies of (a) the Organizational Documents, including all amendments thereto, (b) the membership interest ownership records of the Company and (c) the minutes and other records of the meetings and other proceedings (including actions taken by written consent or otherwise without a meeting) of the Members of the Company.
