The General Conditions (as defined in the Appendix to this Agreement) constitute an integral part of this Agreement.
The General Provisions, Special Provisions, and Attachments, as provided herein, constitute the complete Agreement (“Agreement”) between the parties hereto, and supersede any and all oral and written agreements between the parties relating to matters herein.
The General Partner shall not be responsible for any misconduct or negligence on the part of any such agent appointed by it in good faith.
The General Conditions (as defined in the Appendix to this Agreement) apply to and form part of this Agreement.
The General Partner shall be entitled to rely on any certificate provided by such firm as conclusive evidence of the accuracy of such calculation.

The General Aggregate limit shall either apply separately to this contract or shall be at least twice the required occurrence limit.
The General Partner shall not be personally liable for, and shall have no obligation to contribute or loan any monies or property to the Partnership to enable it to effectuate, the return of the Capital Contributions of the Limited Partners or Unitholders, or any portion thereof, it being expressly understood that any such return shall be made solely from Partnership assets.
The General Partner has caused the Certificate of Limited Partnership to be filed with the Secretary of State of the State of Delaware as required by the Delaware Act.
