"Net Asset Value" or "NAV" means the value of the Scheme Property of the Company or of any Sub-fund (as the context may require) less the liabilities of the Company (or of the Sub-fund concerned) as calculated in accordance with the Instrument of Incorporation. "OEIC Regulations" means the Open-Ended Investment Companies Regulations 2001 as amended or re-enacted from time to time. "OTC" means over-the-counter: a derivative transaction which is not traded on an investment exchange. "Register" means the register of Shareholders of the Company. "Registrar" means Valu-Trac Investment Management Limited, or such other entity as is appointed to act as Registrar to the Company from time to time. "Regulated Activities Order" means the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001 (SI 2001/544) as amended from time to time. "Regulations" means the OEIC Regulations and the FCA Handbook (including the COLL Sourcebook), as amended. "Scheme Property" means the scheme property of the Company or a Sub-fund (as appropriate) required under the COLL Sourcebook to be given for safekeeping to the Depositary. "SDRT" means stamp duty reserve tax. "Share" or "Shares" means a share or shares in the Company (including larger denomination shares, and smaller denomination shares equivalent to one thousandth of a larger denomination share).
