The Financial definition

The Financial. Statements shall fairly present the financial position of the Company at each of the balance sheet dates and the results of operations for the periods covered thereby, and have been prepared in accordance with GAAP consistently applied throughout the periods indicated, except as described on Schedule 5.7. The books and records of the Company fully and fairly reflect all transactions, properties, assets and liabilities of the Company. Except as set forth on Schedule 5.7 there will be no extraordinary or non-recurring items of income or expense during the periods covered by the Financial Statements and the balance sheets included in the Financial Statements do not reflect any writeup or revaluation increasing the book value of any assets, except as specifically disclosed in the notes thereto. The Financial Statements will reflect all adjustments necessary for a fair presentation of the financial information contained therein.

Examples of The Financial in a sentence

  • The Financial Proposal shall be prepared using the attached standard form (Section 7).

  • The Financial Proposals will be opened in the presence of the Bidders at the time and venue indicated by the Purchaser accordingly.

  • The Financial Proposal Envelopes corresponding to Proposals that did not meet the minimum passing technical score shall be returned to the Proposer unopened.

  • Foothill means Foothill Capital Corporation, a California corporation.

  • DBSI means Deutsche Bank Securities Inc.

  • GECC means General Electric Capital Corporation.

  • RFS means Request for Selection (RFS)/Bid document/Tender document

  • Financial Security means Financial Security Assurance Inc., a New York stock insurance company, its successors and assigns.

  • National City National City Mortgage Co., or any successor thereto.

  • Goldman Sachs means Goldman Sachs & Co. LLC.

  • Related Bodies Corporate has the meaning given to that term in the Corporations Xxx 0000 (Cth).

  • Financial Adviser means any:

  • international agreement means the Multilateral Convention for Mutual Administrative Assistance in Tax Matters, any bilateral or multilateral Tax Convention, or any Tax Information Exchange Agreement to which the Member State is a party, and that by its terms provides legal authority for the exchange of tax information between jurisdictions, including automatic exchange of such information.

  • KeyBank means KeyBank National Association.
