The authorized definition

The authorized capitalization of Acquiree is as set forth in the Acquiree Financial Statements. Acquiree has only the capital stock authorized as set forth in said Acquiree Financial Statements and all outstanding shares have been duly authorized, validly issued and are fully paid and nonassessable with no personal liability attaching to the ownership thereof. Other than the outstanding options and debentures listed in the notes to the Acquiree Financial Statements, there are no outstanding convertible securities, warrants or options which may cause authorized but unissued shares to be issued to any person.
The authorized capitalization of Acquiror is as set forth in the most current balance sheet of Acquiror. There is only one class of capital stock and there are no outstanding convertible securities, warrants, options or commitments of any nature which may cause authorized but unissued shares to be issued to any person.
The authorized means any person appointed and authorized by the Client to place Orders and receive Securities Account information. The authorization and its termination must be in accordance with SJCS‟ rules and regulations.
