This Letter of Intent shall terminate and be of no force and effect on the earlier of (a) April 15, 1997 (unless extended by a writing executed by the parties), (b) the execution and delivery of the Definitive Agreements or (c) the execution by THCR or its affiliates of a binding agreement with respect to an Alternative Transaction, except that the provisions of paragraphs 4, 5, 6, 8, 9 and 10 hereof shall survive any of such termination.
