TESTING BALANCE SHEET definition
TESTING BALANCE SHEET as that term has been hereinbefore, and will be hereinafter, used shall mean the Testing Balance Sheet delivered pursuant to Section 3.4(a) as adjusted, if at all, pursuant to Sections 3.4(b) and (c). The date on which the Testing Balance Sheet and the Net Worth Calculation are finally determined pursuant to this Section 3.4 shall hereinafter be referred to as the "NET WORTH SETTLEMENT DATE".
TESTING BALANCE SHEET shall have meaning set forth in Section 3.4(a).
