Landlord shall have no obligation to bear any portion of the cost of the Test Fit in excess of the Test Fit Allowance, and Tenant shall pay Landlord for any costs of the Test Fit in excess of the Test Fit Allowance within 10 business days of the date of invoice therefor.
The Test Fit Allowance shall not be included in the Tl Allowance.
In no event shall Landlord be obligated to make disbursements pursuant to this Tenant Work Letter in a total amount that exceeds the sum of (i) the Tenant Improvement Allowance, (ii) the Restroom Allowance, and (iii) the Test Fit Allowance.
The Test Fit Allowance shall not be included in the TI Allowance.
Landlord shall pay the Test Fit Allowance to Tenant within thirty (30) days after receipt by Landlord from Tenant of the actual third party architect’s costs incurred and paid by Tenant for Tenant’s initial test fit planning in the Leased Premises.
Tenant shall be responsible for payment of all fees and charges in excess of the Test Fit Allowance for such initial test fit planning.
Neither the Construction Allowance nor the Test Fit Allowance shall be disbursed to Tenant in cash, but shall be applied by Landlord to the payment of the Total Construction Costs or the costs for the "test fit" plan, as applicable, if, as, and when the cost of the Work is actually incurred and paid by Landlord.
Tenant may apply the 7th Floor Test Fit Allowance for the payment of the test fit plan costs and may apply the 7th Floor TI Allowance for the payment of construction and other costs, in accordance with the terms and provisions of the Lease Amendment and this Work Letter.
Landlord will pay the preparer of such floor plan for such costs (up to the amount of the Test Fit Allowance) within thirty (30) days after Landlord’s receipt of invoices therefor.
In no event shall Landlord be obligated to make disbursements pursuant to this Tenant Work Letter (including for Improvement Allowance Items described in Section 2.2. below) in a total amount which exceeds the Improvement Allowance, the Base Building Allowance and the Test Fit Allowance.
