TESI or the “Company” means: (i) during the period from May 20, 2009 to January 1, 2010, Total Energy Services Inc., a corporation continued under the laws of the Province of Alberta; and (ii) subsequent to January 1, 2010, Total Energy Services Inc., a corporation formed under the laws of the Province of Alberta upon the amalgamation of Total Energy Services Inc. and its wholly owned subsidiary, Total Energy Services Ltd.;

  • All such contributions by TESI to the Company that are not included as expense items in an Approved Annual Budget shall be treated as Capital Contributions and credited to its Capital Account in accordance with Section 3.8.

  • The tax matters partner for purposes of Section 6231 of the Code (the "Tax Matters Member") shall be TESI.

  • In no event shall TESI be obligated to make any loans or preferred equity purchases pursuant to this Section 3.2 after the fifth anniversary of the first such loan or preferred equity purchase, as the case may be.

  • Once the SEC declares the Registration Statement to be effective, RLH shall use commercially reasonable efforts to file any amendments or supplements necessary to permit a resale by TESI or a Seller Shareholder by the first Business Day following the expiration of the Initial Period or as soon as practicable thereafter.

  • The Lock-Up Agreement will further provide that TESI and each Seller Shareholder shall not publicly disclose an intention to do any of the foregoing.

  • Neither ECD nor TESI shall be responsible for making any Capital Contributions otherwise required pursuant to Section 3.1(b) that are funded with the loans or equity purchases made by TESI under this Section 3.2.

  • ECD and TESI shall perform the activities described in this Section 2.6(a)(i) pursuant to the ECD Service Agreement and the TESI Service Agreement, respectively.
