Termination Settlement definition

Termination Settlement means, with respect to any 1999-A Lease terminated pursuant to the related Lessee's exercise of the Annual Termination Option where such 1999-A Lease requires the related Lessee to purchase such Vehicle for its Termination Value, a settlement offered by the Administrative Agent to such Lessee to release such Lessee from such requirement.

Singularly, any of the ten (10) transformers and associated equipment that will be incorporated into the ten (10) generator step-up transformer packages that Seller is furnishing to Purchaser under this Agreement and equipment associated with said transformers. Vendor. Shall mean any vendor, supplier or subcontractor utilized by Seller in the performance of the Scope of Work hereunder. WestLB. Shall have the meaning as set forth in the preliminary statements. ARTICLE II.
Termination Settlement. Date shall have the meaning specified in Section 20(b) of the Lease Agreement.

Examples of Termination Settlement in a sentence

  • If an Acceleration Event occurs after Counterparty has designated a Settlement Date to which Physical Settlement applies but before the relevant Settlement Shares have been delivered to Dealer, then Dealer shall have the right to cancel such Settlement Date and designate a Termination Settlement Date in respect of such Shares pursuant to the first sentence hereof.

  • If, upon designation of a Termination Settlement Date by Party A pursuant to the preceding sentence, Party B fails to deliver the Settlement Shares relating to such Termination Settlement Date when due or otherwise fails to perform obligations within its control in respect of the Transaction, it shall be an Event of Default with respect to Party B and Section 6 of the Agreement shall apply.

  • If, upon designation of a Termination Settlement Date by Dealer pursuant to the preceding sentence, Counterparty fails to deliver the Settlement Shares relating to such Termination Settlement Date when due or otherwise fails to perform obligations within its control in respect of this Transaction, it shall be an Event of Default with respect to Counterparty and Section 6 of the Agreement shall apply.

  • If Dealer designates a Termination Settlement Date as a result of an Acceleration Event caused by an excess dividend of the type described in Paragraph 7(f)(ii), no adjustments(s) shall be made to the terms of this contract to account for the amount of such excess dividend.

  • If an Acceleration Event occurs after Party B has designated a Settlement Date to which Physical Settlement applies but before the relevant Settlement Shares have been delivered to Party A, then Party A shall have the right to cancel such Settlement Date and designate a Termination Settlement Date in respect of such Shares pursuant to the first sentence hereof.

  • If, upon designation of a Termination Settlement Date by Dealer pursuant to the preceding sentence, Counterparty fails to deliver the Settlement Shares relating to such Termination Settlement Date when due or otherwise fails to perform obligations within its control in respect of the Transaction, it shall be an Event of Default with respect to Counterparty and Section 6 of the Agreement shall apply.

  • Such notice must be given at least three Business Days prior to the related Termination Settlement Date in the case of any Terminated Obligation and at least 10 days prior to the Scheduled Termination Date if all Transactions are to be terminated in connection with the Scheduled Termination Date.

  • The Calculation Agent may, in connection with a Termination Settlement following such Acceleration Event, reduce the Forward Price to compensate Party A for any “materially increased costs” incurred during the Amendment Period.

  • For the avoidance of doubt, delivery of Restricted Shares shall be due as set forth in the previous sentence and not be due on the Settlement Date or Termination Settlement Date that would otherwise be applicable.

Unwind Period Disrupted Days: If any Scheduled Trading Day during an Unwind Period is a Disrupted Day in whole or in part, the Calculation Agent shall make commercially reasonable adjustments to the terms of the Transaction (including, without limitation, the Cash Settlement Amount, the number of Net Share Settlement Shares and the Settlement Price) to account for the occurrence of each such Disrupted Day.

Related to Termination Settlement

  • Share Termination Settled in relation to the Transaction means that the Share Termination Alternative is applicable to the Transaction.
