Termination Activities definition

Termination Activities means the termination and unwinding of all activities of the Revolver Agent, the Revolver Lenders and their respective officers, employees, and agents in connection with the exercise of rights granted to Revolver Agent or the Revolver Lenders under Section 4 and Section 5(b) or any activities conducted by any of them on either of the Premises during the exercise of such rights, including removal of the Revolver Agent, any Revolver Lender, and their respective officers, employees, and agents from both of the Premises, the return of any information, documents or data made available pursuant to Section 4 and Section 5(b), and the completion of all restoration activities and payment of costs as set forth in Section 4(c)(v) and (vi). Nothing in this Section 6(b), including Revolver Agent’s performance of the Termination Activities and the delivery of the Successor Indemnity, shall be deemed to toll the running of or otherwise extend the Disposition Period. In addition, nothing in this Section 6 shall be deemed to limit the rights or remedies of either Agent arising from a breach by any party of its obligations under this Agreement.
Termination Activities has the meaning given in Section 6(b).
Termination Activities has the meaning set forth in Section 17.5.

Examples of Termination Activities in a sentence

  • The Termination Activities will be subject to the terms and conditions of this Agreement.

  • Sentinel shall apply for and obtain the issuance of any and all permits and other authorizations and approvals required by any regulatory agency prior to commencing any applicable work, including without limitation CalGEM and the City in connection with the Authorized Interim Operations and as required to facilitate Termination, including Termination Activities (collectively the “Interim Operations Approvals”), in accordance with all applicable laws, regulations and requirements.

  • Such performance bond shall guarantee Sentinel’s full and faithful performance of all Termination Activities in satisfaction of the requirements set forth in Sections 2.1 through 2.3 and shall continue to be held by Sentinel, subject to Section 6, pursuant to the provisions of this Agreement.
