Terminal Breach definition

Terminal Breach means (a) a material breach by a Party of any payment or equity issuance obligation set forth in this Agreement, (b) any act of fraud or willful misconduct by a Party arising in connection with this Agreement or any Technical Development Plan, (c) a breach by a Party of such Party’s exclusive collaboration obligations under Section 2.7, or (d) a disclosure by a Party of the Technical Information of the other Party in a manner that would also qualify as material breach of Article 9.
