Sellers shall, not later than, and as of, one (1) business day before the Effective Date, calculate the Net Working Capital of Company (the "Tentative Net Working Capital"), in the manner set forth and certified by Sellers in the form of Exhibit "A" attached hereto (the "Tentative Balance Sheet").
Notwithstanding anything herein to the contrary, Sellers, jointly and severally, guarantee the collection in full of all accounts receivable set forth on the Tentative Balance Sheet within sixty (60) days of the Closing Date.
