Tenant Files definition

Tenant Files means, collectively, with respect to each Lease in effect as of the Closing Date, copies of all the following matters that the Sellers have in their files or which are otherwise within Sellers’ reasonable control: (i) bills relating to costs included in any so-called common area maintenance charges passed through to any Tenant for the applicable Lease Year in which the Closing occurs and any prior Lease Years with respect to which the applicable Tenant’s audit rights have not expired, (ii) Lease Documents, (iii) Recognized Subleases relating to any portion of the premises demised under such Lease and any Nondisturbance Agreement relating to such Recognized Subleases, (iv) letters and other agreements relating thereto and referenced herein or identified on any Exhibit hereto and (v) material correspondence relating thereto.

Examples of Tenant Files in a sentence

  • Tenant File(s): the file (or files) for a Tenant or Household held by the Development.

  • Manager shall maintain copies of the First Year Tenant Files in a secure location under its control in accordance with the requirements of the Code.

  • Nothing in this Section 13 shall limit or restrict the Transfer Agent's right to use affiliates or third parties to perform or discharge, or assist it in the performance or discharge, of any obligations or duties under this Agreement other than the provision of the services.

  • Tenant File Audit: a review by the Contractor of the Tenant File(s) in accordance with the Scope of Work to determine compliance with a Program.

  • Within 60 days after achievement of Qualified Occupancy, the General Partner shall deliver to the Compliance Specialist and the Limited Partner all First Year Tenant Files, including first year unit transfers, which files shall be subject to the review and approval of the Compliance Specialist and Limited Partner.

  • While performing Tenant File Audits, the Contractor will maintain in good order and return the Tenant File(s) to the Development in the same condition.
