  • In the event of the termination of a Service Order by TELVIVA in terms of Clause 22 or byCUSTOMER for any reason prior to the expiry of the Minimum Term of the Service Order, all Fees which would have become payable over the unexpired period of the Minimum Term, will become due and payable to TELVIVA immediately upon the date of termination of the Service Order.

  • Notwithstanding the provisions of this clause, TELVIVA shall not be liable under the provisions of this clause to the extent that a claim hereunder arises as a result of: (a) the use of the Licensed Technology in combination with any equipment or software provided by CUSTOMER or which are procured from a third party; or (b) any alteration or modification which was not made by or on behalf of TELVIVA.

  • In return for payment of the relevant Fees TELVIVA will provide Support Services in respect of Errors with the Communication Services in accordance with the terms of the Schedule.

  • If TELVIVA’s implementation of Communication Services is delayed by reason of CUSTOMER’s failure to ensure same, CUSTOMER will pay all reasonable wasted costs of TELVIVA attributable to such delay, including, without limitation, the costs of accommodation, subsistence, travel, costs of sub-contractors and costs of time wasted in abortive site visits.

  • CUSTOMER authorises TELVIVA (and its subcontractors involved in the Services) to Process the Personal Information for rendering the Services and to comply with its obligations under applicable Law and for such other purposes as may be agreed with or authorised by CUSTOMER under this Agreement, and the CUSTOMER confirms and warrants to TELVIVA that it is and will at all times be entitled under applicable Law to grant such authorisation.
