Teligent is responsible for payment of valid and properly-applied federal, state and local taxes, charges or surcharges imposed on or based upon the provision, sale or use of Level 3's services (excluding charges imposed on ▇▇▇▇▇ ▇ for the use of public rights of way and for taxes based upon Level 3's net income or property). Unless Teligent is exempt, Teligent will pay such amounts upon receipt of an itemized invoice thereof. Teligent will provide Level 3 with appropriate documentation of any exemption.

Teligent has the meaning assigned to such term in the Recitals to this Agreement.

Immediately prior to the consummation of the offering of the Notes, Teligent, L.L.C. will merge with and into the Company (the "Reorganization"), with the Company surviving the merger.
